Acceptance of Terms

By accessing our website, engaging our cybersecurity services, or entering into a service agreement with advertqniu, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

Services Description

advertqniu provides comprehensive cybersecurity services including but not limited to:

• Threat detection and incident response services
• Security assessments and penetration testing
• Compliance management and consulting
• Security awareness training and education
• Cybersecurity consulting and advisory services

Client Obligations and Responsibilities

As a client of advertqniu, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems and data as required for service provision
• Implement security recommendations within reasonable timeframes
• Maintain confidentiality of any proprietary methodologies or tools shared by advertqniu
• Pay all fees and charges in accordance with the agreed payment terms
• Comply with all applicable laws and regulations

Intellectual Property

All intellectual property rights in our services, methodologies, tools, reports, and website content remain the exclusive property of advertqniu. Clients receive a limited, non-exclusive license to use our deliverables solely for their internal business purposes. You may not reproduce, distribute, or create derivative works from our intellectual property without prior written consent.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our business relationship. We commit to maintaining the strict confidentiality of your business information and data. You agree to keep confidential any proprietary information, methodologies, or tools disclosed by advertqniu.

Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may incur interest charges at the rate of 1.5% per month. We reserve the right to suspend services for overdue accounts until payment is received.

Limitation of Liability

To the maximum extent permitted by Dutch law, advertqniu's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 12 months preceding the incident. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Service Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care in accordance with industry standards. However, cybersecurity is an evolving field, and no security measures can guarantee complete protection against all threats. Our services are provided "as is" and we disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

Indemnification

You agree to indemnify and hold harmless advertqniu from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights, except to the extent such claims result from our gross negligence or willful misconduct.

Termination

Either party may terminate ongoing services with 30 days' written notice. We may terminate services immediately if you breach these Terms or fail to pay undisputed invoices. Upon termination, you must pay all outstanding fees and return any confidential materials. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or cyber attacks against our own infrastructure.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with Dutch law. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Breda, Netherlands.

Data Protection

Our processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. We comply with the General Data Protection Regulation (GDPR) and applicable Dutch data protection laws in all our data processing activities.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing clients with reasonable advance notice. Continued use of our services after such modifications constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms, together with any executed service agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.
